Principles of corporate governance

This Code sets out fundamental statutory regulations on the management and supervision of companies listed on the stock exchange. Furthermore, the Code includes numerous recommendations for conduct which are intended as a commitment for Members of Supervisory Boards and Management Boards of companies listed on the stock exchange. Their scope extends beyond the legal requirements and they formulate standards for good corporate governance and supervision.

The Federal Ministry of Justice has published the recommendations of the Government Commission on the German Corporate Governance Code in the official section of the electronic Federal Gazette.

KPS AG welcomes the German Corporate Governance Code as an important step towards the further development of responsible principles of corporate management and control in Germany. The set of rules is suitable for making the principles of corporate governance more comprehensible for investors in Germany and abroad.

KPS AG implements the recommendations of the Government Commission on the German Corporate Governance Code with a few exceptions.

For example, the rules of procedure of the Executive Board and Supervisory Board have been further developed and adapted to the standards of the Code. KPS AG has already implemented the vast majority of the Code’s recommendations in its corporate practice in the past. For example, close and efficient cooperation between the Executive Board and the Supervisory Board of KPS AG is one of the basic principles of corporate governance.

The Management Board and Supervisory Board of KPS AG will continue to ensure that the recommendations of the Code are implemented and further developed within the company.
